By engaging in a transaction with FixUp Auto Parts LLC, you agree to the following industrial commercial terms. These terms govern all wholesale OE powertrain acquisitions.

All contracts and disputes are regulated under the Arizona Uniform Commercial Code (UCC).

01. Acceptance of Terms
Usage of fixupautoparts.com and the initiation of any purchase order constitutes a legally binding agreement between the Buyer and FixUp Auto Parts LLC. These terms supersede any verbal or written communication prior to the invoice date.
02. Payment Protocols
To maintain wholesale pricing, FixUp Auto Parts LLC utilizes **Direct Bank Wire (Fedwire/ACH)**. Buyers are responsible for ensuring the accuracy of the banking details provided. Once a wire is initiated, the transaction is considered an active commercial contract under UCC guidelines.
03. Shipping & Logistics
All units are shipped via LTL Freight. FixUp Auto Parts LLC is responsible for the unit until it is handed over to the carrier. Risk of loss passes to the Buyer upon delivery to the specified commercial or residential address. Delivery times (4-7 days) are estimates and may vary due to freight grid conditions.
04. Limitation of Liability
FixUp Auto Parts LLC shall not be liable for any indirect, incidental, or consequential damages resulting from the use or inability to use our OE components, including but not limited to loss of income, vehicle rental costs, or shop downtime beyond the specific labor allowances provided in our 3-year warranty.
05. Jurisdiction
This agreement is governed by the laws of the **State of Arizona**. Any legal action arising from transactions with FixUp Auto Parts LLC must be filed in the courts of Maricopa County, Arizona.
